Projects, infrastructure and PPP

Our Corporate Commercial team has advised on some of the most ambitious corporate transactions, contracts (including performance-based contracts), financings, restructurings and infrastructure projects in the Sultanate of Oman. SASLO have extensive experience in advising on projects in the power, renewable energy, electricity, oil and gas, water, waste-water and infrastructure sectors in the Sultanate of Oman on behalf of Clients, Sponsors and Lenders, providing corporate, commercial, banking/finance, real estate, projects; and construction law advice.

We have been involved in some of the largest and most complex power and infrastructure projects in Oman.

Our work has included advising on:

  • the Manah, Ghubrah, Sur, Sohar and Salalah Independent Power Projects;
  • the Muscat Wastewater Project and the Salalah Wastewater Project;
  • the project financing of Oman LNG’s operations;
  • the Oman India Fertiliser Project;
  • the Oman Gas Pipeline Project;
  • the Salalah Free Zone Project.;
  • the Sharqiyah, Barka 4, Sohar, Khasab and Barka 5 IWPs; and many more.

We have been a leading participant in public-private-partnership projects in Oman in a wide range of sectors. We are currently advising a Government body on a mixed-use real estate project in partnership with an international real estate developer on a Build-Own-Operate-Transfer (BOOT) basis, which is considered the route most preferred by the Omani government for the implementation of public projects based on PPP model. Additionally, we have recently been awarded a project (jointly with leading international financial and technical advisors - as a consortium) for preparation of (Public-Private-Partnership) tender & development agreements for re-development of a club house in Muscat.

SASLO’s key strengths are:

  • advising on risk management, procurement strategy and the regulatory environment;

  • drafting and negotiating contracts (including performance-based contracts) and other project documents with contractors and supply chain members;
  • advising on the appropriate use of lump sum, target cost and other pricing mechanisms and on the evaluation of tenders and the award of contracts;
  • advising on standard form contracts and bespoke forms of contract and other project documentation, such as consultant agreements, bonds, warranties and guarantees, and conducting risk-based due diligence reviews for clients proposing to purchase development opportunities or completed developments;
  • reviewing, drafting and negotiating project agreements, EPC/EPCM contracts, design and build contracts, operation and maintenance contracts, construction management contracts, partnering and framework agreements;
  • reviewing industry-standard forms and amending, updating and restructuring agreements / documents in line with the relevant provisions, applicable laws and international best practice rules;
  • advising on procurement and construction issues and any disputes that might arise.

Selected projects

Acting for the Omani Government on one of the first Public-Private Partnerships (PPP) under Omani PPP Law, including in relation to the project structure, legal due diligence on project land, licenses, applicable PPP laws and regulations, PPP options, public procurement laws, etc.
Acted for a various consortia on a number of greenfield IWP and IPP projects, both on sponsors and lenders end, on matters pertaining to financing, term sheet and security package and other obligations in respect of the proposed financing of the projects in the pre-bid stage, including amongst others, compliance with the Sector Law, review of project agreements, permits for the construction and operation of the plants, corporate governance matters, applicable rules and regulations relating to closed and public joint stock companies in Oman, and IPO matters.
Acted for a developer with respect to the development of a PV power station in Oman. This included advising on PV power plants regulatory framework, PPA and Lease Agreement for a solar power system.
Acting as a lead legal advisor to Government body on development of a mixed-use real estate project in partnership with an international real estate developer on a Build-Own-Operate-Transfer (BOOT) basis.
Advising on the establishment of a chemicals plant in a free zone in Oman. The role involves negotiating and drafting all transaction documents, including the joint venture arrangements between the company’s shareholders, bank term-sheets, the finance/security/project documents that will be necessary to implement the transaction and offtake agreements.
