On the Shari’ah compliance and Islamic banking and finance front, we have acted for major banks in the Sultanate. We have assisted with the development of a Master Facilities Agreement for seven different types of Islamic Finance facilities for corporate customers and SMEs, such as Master Murabaha Agreement, Joint Guarantee, Master (Diminishing) Musharaka Agreement, Ijara (Lease Purchase – Real Estate) Agreement, Master Islamic Finance Facilities Agreement, Master Mudarabah (Real Estate Development) Agreement, Shari’ah Compliant Vendor Purchase Facility (and Tripartite Agreement among bank, customer & developer) for real estate; and Master Istisnaa (Investment) Agreement.

Selected projects

Acted for a regional commercial bank with regard to a US$ 300 million facility to Oman to an Omani transport services company.
Advised a regional bank on the financing of an acquisition of 100% stake of an Omani LLC engaged in of power transformers manufacturing by a regional investment fund.
Acted for an Islamic banking division of a local bank in relation to the financing and construction of a hotel resort operated by international luxury hotel group by way of a diminishing Musharaka facility.
Acted for an Islamic banking division of a local bank in relation to a syndicated facility granted to a shipping services company.
