SASLO has expertise in a wide range of regulated sectors, including financial services, telecommunications, insurance, health and safety, environment, energy, waste management and utilities. We advise on the interaction between general law and sector-specific rules and regulations, and handle the additional complexity associated with merger transactions in regulated sectors. We also advise on purely regulatory issues, such as media ownership rules or water licensing issues. The breadth of our expertise across a number of sectors, combined with our in-depth knowledge of individual sectors, enables us to find creative solutions to regulatory issues, while maintaining the necessary level of expertise to advise on specific questions affecting a particular sector.

We have excellent relationships with regulators and ministries in Oman, including the Ministry of Energy and Minerals, Environment Authority, the Capital Markets Authority, the Ministry of Commerce, Industry and Investment Promotion, the Telecommunications Regulation Authority, the Civil Aviation Authority, the Authority for Electricity Regulation of Oman, Free Zones, Ministry of Housing, the Muscat Securities Market, the Ministry of Tourism and the Tender Board. We are therefore ideally placed to advise on regulatory compliance, regulatory conditions precedent to closing, and regulatory closing requirements.

Selected projects

Advised a project sponsor on environmental matters including clean development mechanism (CDM) validation, carbon credit term sheet and emission reduction purchase agreement (ERPA).
Advising various telecommunications companies on the regulatory background regarding the application of the products in Oman including specific details on any regulatory compliance, penalties for non-compliance, various issues regarding application and installation of VOIP in compliance with telecommunication regulatory laws in Oman.
Advised various project companies on all regulatory matters, lender’s consents and advising on various financing and project documents in relation to multiple debt swaps. This involved advising on obtaining relevant shareholder and regulatory approvals from the market regulator, registrations with the central depository company and listing of the converted stocks on the relevant tier of the Muscat Securities Market.
Advised various consortia on a number of greenfield IWP and IPP projects on versitile aspects of the project founders’ agreement and regulatory matters under the Electricity and Related Water Sector Law, which was promulgated by Royal Decree 78/2004 (the Sector Law).
