5)EQUITIES -Bonds, Fund Advisory Services, Placements, Rights Issues, IPO

SASLO has been privileged to advise and act for several major clients in the finance and investment sector, including local clients regarding open ended and closed ended mutual funds, bond issues, placements, rights issues, and advising foreign clients regarding the local marketing of foreign securities. We share a close working relationship with the authorities and regulators and are able to assist our clients in areas of regulatory and corporate governance compliance which is of utmost importance. Our team has been involved in some of Oman’s significant debt equity swaps. SASLO has advised the project companies of major Independent Power Projects (IPP), Independent Water & Power Projects (IWP) on their obligations under project agreements, shareholders agreements, financing documents and agreements with the lenders, regulatory environment. Manah Power Project was the first privatization project in the power sector in Oman and had received intensive media attention and publicity. SASLO had the privilege of acting on behalf of the government, negotiating and drafting of various agreements including the power purchase Agreement, implementation Agreement and the Land Lease.

On the Shari’ah compliance and Islamic banking and finance front, we have acted for major banks in the Sultanate. We have assisted with the development of a Master Facilities Agreement for seven different types of Islamic Finance facilities for corporate customers (SME’s); Master Murabaha Agreement; Joint Guarantee; Master (Diminishing) Musharaka Agreement; Ijara (Lease Purchase – Real Estate) Agreement; Master Islamic Finance Facilities Agreement; Master Mudarabah (Real Estate Development) Agreement; Shari’ah Compliant Vendor Purchase Facility (and Tripartite Agreement among bank, customer & developer) for real estate; and Master Istisnaa (Investment) Agreement.
